End User License Agreement

Please read carefully before installing and using CAMAG Technologies software.

IMPORTANT: This is a legal agreement between the Licensee (End User) and CAMAG Technologies Limited. Continuing with the setup procedure indicates acceptance of all terms and conditions.

Definitions

"Software" refers to the CoopTran® files supplied in the software archive and any copies, updates, modifications, functionally-equivalent derivatives, or portions thereof. "Licensor" refers to CAMAG Technologies Limited. "Licensee" refers to the person or business entity who purchased this License. "Key" refers to the unique serial number received on purchase.

Grant of License

CAMAG Technologies Limited grants Licensee a non-transferable, non-exclusive, non-sublicensable license to use one copy of the Software on a single terminal connected to a single computer. Licensee may not network the Software or use it on more than one computer terminal at the same time. You may not publish or distribute the Key without direct authorisation from the Licensor.

Copyright

The Software and accompanying documentation are protected by the copyright laws of the Federal Republic of Nigeria and by international treaty provisions. It may not be reproduced in any form save for a single backup copy for archival purposes.

Other Restrictions

You may not use, copy, modify, or transfer the Software or any copy, modification, or merged portion, in whole or in part, except as expressly provided for in this Agreement. Licensee shall not decompile, disassemble, or reverse engineer any of the Software. Licensee shall not rent, lease, sublicense, or transfer the Software.

Proprietary Rights

Licensor retains exclusive proprietary rights in the Software. Licensee agrees not to represent that Licensor is affiliated with or approves of Licensee's application software in any way.

Commencement & Termination

This Agreement is effective from the first date you install the Software and continues until terminated. Licensee may terminate at any time by destroying all copies. It will also terminate if Licensee fails to comply with any term or condition.

Warranties: Disclaimers

THIS SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The entire risk as to quality and performance is with you.

Remedies: Limitations

IN NO EVENT WILL CAMAG Technologies Limited BE LIABLE FOR ANY DAMAGES, INCLUDING LOST PROFITS, LOST SALES, INJURY TO PERSON OR PROPERTY, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE. Licensor's liability shall not exceed amounts paid by Licensee under this Agreement.

Technical Support

The Licensor has no obligation to furnish the Licensee with technical support unless separately agreed in writing.

General

Licensee may not sublicense, assign, or otherwise transfer this License or Software except as expressly provided. This Agreement will be governed by the laws of the Federal Republic of Nigeria.
